Yoon & Yang LLC has provided legal advice for Hankook Samgong on its acquisition of 55.8% shares in Ngoc Tung Manufacturing Trading Service Joint Stock Company (“NTJSC”), a Vietnamese agricultural pesticide-fertilizer manufacturing company.
This case is meaningful since it is the first case in which a Korean company acquired the majority shares and managerial rights of a Vietnamese agricultural pesticides manufacturing company. Yoon & Yang has provided the comprehensive legal service in accordance with Hankook Samgong’s investment purposes by (i) analyzing regulations within an agricultural pesticides manufacturing industry affecting foreign investors in Vietnam through a thorough on-site due diligence; and (ii) helping to concentrate on NTJSC’s core business areas such as manufacturing agricultural pesticides area and contributing to the successful contract negotiations.
